Standard Terms and Conditions

1. Customer responsible for ensuring that the site is aware and adheres to the following terms.

2. Customer to provide all lifting equipment to offload, remove and install equipment.

3. Priced based on standard removal/installation.  Upon review of site, if obstacles, low ceilings, uneven floor, no ground access, or other interferences existing price will be adjusted accordingly.

4. All work must be completed consecutively during one trip to prevent additional travel, wait time charges or additional rental equipment charges.

5. Equipment must be cleaned out and accessible for dismantling and removal from building for full duration of service work.

6. RISE is not responsible for securing electrical lines left in building at time of equipment removal or filling / covering pits or anchor holes or repairing damage to foundation/floor.

7. Removal of any additional equipment guards, columns, pylons, etc. to allow for equipment removal or installation to be billed at time and material.

8. Customer to supply all equipment and parts (wire, steel, etc) required for installation per manufacturers specifications.

9. Customer to supply electrical power to MCC and all associated equipment and adequate power to operate RISE tools.  And for adequate outside lighting if required.

10. Customer to supply Electrician for all electrical connections.  Price does not include running any wiring or conduit.

11. Access to building 12 to 24 hours a day, 7 days a week including weekend and holidays.

12. Fully charged water hose and adequate fire suppression in work area for safety.  Hot work permits for full time RISE onsite – prepared prior to arrival of crew.  Customer to provide fire watch personnel for full duration of project.

13. Clean, accessible working area around equipment and clear path for equipment removal/install.  Pits, equipment and enclosed areas to be cleaned of all hazards (including fire hazards) prior to arrival of RISE crew.

14. Customer responsible for capping or removing all sprinkler, water, security, network or any other lines above or attached to the equipment being installed, repaired or removed.

15. Does not include installing or connecting transitions to other equipment, additional platforms, catwalks, control panels, etc., to other equipment or additional guards for piping, cylinders, etc. on equipment.

16. Prepared foundation and pits per manufacturer’s specifications (completed prior to arrival of RISE crew)

17. Fabrication / installation of additional supports, guards, transitions, etc. to be billed at time and material.

18. RISE is not responsible for the production rate of system.  All parts replaced are warrantied by the parts manufacturer for manufacturer’s defects for a period of one year.  Manufacturer’s warranty is passed on to end user and covers providing replacement part if part is deemed to be defective by manufacturer.  Warranty does not cover shipping, expedite, labor or travel.

19. Price does not include computer work or programming changes to any equipment or MCC.

20. If additional work required due to structural / subfloor damage or additional equipment repairs requested at time of work, costs will be billed at the following rates:  $110 per man hour, parts / supplies at cost, travel / room / meals expenses at cost.

21. If delays are incurred due to extreme weather conditions, facility not ready, other contractors or customer’s direct intervention or delay, the customer will be responsible for the added costs. RISE will not be held liable for any damage to floor due to weight of equipment or lifting equipment.

22. All equipment and parts must be delivered in a logical order of installation.  If delays occur due to equipment not arriving in this manner, additional cost will be incurred to compensate for time delays.  This includes delays or stoppage due to any shipping or port delays, site preparedness delays, engineering or design delays, etc and can includes additional charges for travel, rental equipment, delivery fees, wait time, etc. due to extending job timeframe or stoppage.  Additional charges will also be incurred if RISE is required to perform temporary installments to continue with installation while awaiting equipment or parts or for any wait time incurred due to waiting on parts, equipment, changes, or any other delays caused by others.

23. Notwithstanding any other terms, obligations and conditions contained in this Agreement, the Customer agrees to defend, hold harmless and indemnify the Rise Equipment against any and all losses, claims, actions, damages, liabilities, costs and expenses in connection with loss of life, personal injury, damages or any other losses or injuries which may arise from, and occasioned wholly or in part by any act or omission or by the fault of the Customer, End User, its employees, representatives or subcontractors related to the ownership or operation of said equipment installed by RISE.

24. Equipment purchaser/user is responsible for determining and supplying the safety features to be furnished in order to comply with local, state and federal rules and regulations pertaining to the safety, health and welfare of the worker.

25. CANCELLATIONS. Minimum cancellation charges are 50% of the purchase price with 100% due after fabrication begins.

26. Unless otherwise noted, quotation price valid for 15 days.  If job is accepted and/or scheduled after 30 days all price increases applicable to any part of quotation will be added.

 

  • This price does not include any State, Local or Use Taxes if applicable.
  • Final determination of specs are made by our Engineering Department.  Any changes deemed necessary may result in a pricing adj.

  • Material and equipment included in this quote are based on Seller’s interpretation of Buyer’s requirements and are subject to verification by Buyer or his representative.  This quote does not include accessory equipment unless such items are listed on quotation.
  • All equipment and shipments are quoted EXW Point of Shipment.  Title passes to Buyer upon availability to a common carrier or delivery service.  Freight claims are the responsibility of the owner / buyer.

All prices quoted and/or charged are listed at our “Cash Discount” pricing.  If payment is made by a form other than cash or check, the Cash Discount of 4% will be removed and adjusted to the non-discounted pricing on the invoice.   Customer is responsible for all applicable taxes, obtaining any site / construction permits, or meeting any unknown local codes.  Unless detailed on layout print of the facility provided in advance to work starting, HSC will not be responsible for any under floor, overhead lines (electrical, water, fire, etc.) or wall utilities while drilling anchor bolts, moving equipment, or installing equipment. HSC will not be held liable for any damage to floor due to weight of equipment or lifting equipment.  Equipment manufacturer holds all liable responsibility.  HSC will not be responsible for operation or warranty on any pieces of the equipment.  HSC does not guarantee the production rates or quality of products of any equipment – all guarantees, production expectations, warranties, etc. are passed directly from the equipment manufactures to the end user and hence are the responsibility of the manufacture of said product.  Cancellations by customer shall be by mutual agreement in writing based on any adjustment necessary to cover labor expended, material and/or services procured, and reasonable overhead expenses applicable thereto.  Deposits are non-refundable. HSC will in no event be responsible for any consequential damages, including but not limited to lost profits, lost sales, increased freight or shipping costs, increased handling costs or lost production time arising from the performance, or failure of performance of the equipment.  This Agreement constitutes the sole and entire agreement of the parties to this Agreement with respect to the subject matter contained herein and therein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.  No representation, statement, condition, or warranty not contained in this Agreement will be binding on the parties hereto or have any force or effect whatsoever.  In the event the price of certain materials (e.g. structural steel, gas, oil, transportation of such), increases 6% or more between the date of this quote and the date of acceptance or start of work, the quote sum shall be equitably adjusted by invoice in accordance with the payment terms of the quote. All disputes to be handled and/or litigated in and based on the laws of McLennan County, Texas. 

Used Equipment Terms For The Sale Of Used Equipment

  • Used equipment is sold “As Is, Where Is” and does not come with any guarantees or warranties, expressed, written or implied.
  • All sales of used equipment are subject to prior sale and contingent on current owner’s agreement to sale.
  • Payment in full via wire transfer in USD is due with order to secure sale rights and remove equipment from the market.
  • Cancellations by Buyer shall be by mutual agreement in writing between Buyer and Rise. Deposits are non-refundable. Any other payment refunds agreed to by Risefor Buyer’s Cancelled order will be based on adjustment necessary to cover Rise’s labor expended, material and/or services procured, and reasonable overhead expenses applicable thereto.
  • Material and equipment included in this quote are based on Seller’s interpretation of Buyer’s requirements and are subject to verification by Buyer or his representative. This quote does not include accessory equipment unless such items are listed on quotation.
  • All equipment and shipments are quoted EX WORKS Point of Shipment. Title passes to Buyer upon availability to a common carrier or delivery service. Freight claims are the responsibility of the buyer.
  • Rise is not responsible for the production rate or warranty of equipment.
  • Rise is reporting the condition of the equipment as it was reported to Rise. Rise does not guarantee the actual condition of the equipment nor implies that Rise has inspected the equipment to insure the condition is being reported accurately. Rise suggests that the customer inspects all equipment prior to purchase.
  • This Agreement constitutes the sole and entire agreement of the parties to this Agreement with respect to the subject matter contained herein and therein, and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to such subject matter. No representation, statement, condition or warranty not contained in this Agreement will be binding on the parties hereto or have any force or effect whatsoever.
  • Limitation of liability – Rise will in no event be responsible for any consequential damages, including but not limited to lost profits, lost sales, increased freight or shipping costs, increased handling costs or lost production time arising from the performance, or failure of performance of the equipment.
  • Equipment being brokered by Rise (the Seller) is contingent on Current Owner’s final approval and agreement of sale. Rise is neither responsible nor liable if Current Owner removes equipment from Rise’s market. In the event the equipment is removed from Rise’s market after a payment or deposit is received from Buyer, Rise is only responsible for refunding to the Buyer the payments receive by Rise for said equipment purchase.
  • Buyer / Customer is responsible to insure equipment is installed according to manufactures specifications and meets all safety requirements required by Local, State and Federal agencies.
  • Buyer / Customer is responsible for all transportation costs, unloading costs, installation costs and costs associated with operating equipment.
  • Notwithstanding any other terms, obligations and conditions contained in this Agreement, the Buyer & Customer agrees to defend, hold harmless and indemnify the Seller (Rise Equipment, LLC) against any and all losses, claims, actions, damages, liabilities, costs and expenses in connection with loss of life, personal injury, damages or any other losses or injuries which may arise from, and occasioned wholly or in part by any act or omission or by the fault of the Buyer, Customer, its employees, representatives or subcontractors related to the rebuilding, installation, start-up and/or training of any employees or other individuals who operate the equipment herein which customer has elected not to have Rise Equipment, LLC install or rebuild. The equipment is offered AS IS in USED CONDITION. It is the Buyer / Customer’s responsibility to be sure that if the Equipment is installed or rebuilt it is done so conforming to ANSI and OSHA SAFETY REQUIREMENTS.
